Provide legal support to the Support Functions
Assisting Head of Legal/Company Secretary in leading the management of legal risk in-country
Promote and manage a culture and practice of Legal Compliance and Ethical Conduct within the Support Functions
Assist the business Support Functions to enhance compliance with laws and regulations and the ethical standards adopted by the SCB Group.
Assist implement, at a country level, the vision, strategy and direction set by the Country Head of Legal
Generally assist Head of Legal/Company Secretary in delivering Legal and Company Secretary Agenda
Key Roles and Responsibilities
LEGAL
- To monitor the progress of all assigned non-material disputes and provide periodic reports to the Head of Legal
- To manage legal, reputation and financial risk arising from litigation
- To act as liaison between staff and external lawyers on matters under litigation.
- To review and perform gap analysis of new laws and regulations affecting the Bank and report to Head of Legal.
- To provide legal advice on all documentation as directed.
- Be the point of reference, advice and support for legal issues raised by the Support Functions.
- To assist in the review and negotiation of agreements between the Bank and third parties.
- To research on legal issues affecting the Bank and provide feedback to Head of Legal
- Provide Legal and Compliance advice, briefings, recommendations and reports on material legal and compliance risks and issues to all stakeholders Anticipate the impact of legal and regulatory developments on SCB Kenya and communicate their impact to the Management.
- Establish and maintain effective processes, including training, advice and support, to ensure that legal policies, procedures and standards are effectively implemented in area of responsibility
- Ensure that the engagement of external legal counsel is appropriate, effective and coordinated so as to minimise risks
- Complete and keep updated the Legal Risk Management Information System and other management systems as directed
- Assist the Company Secretary in providing Company Secretarial services for Board Committees and Subsidiaries as directed.
- To ensure statutory returns of the company and its subsidiaries are submitted timely to the Registrar of Companies.
- To ensure shareholders’ issues and correspondences are handled by the Share Registrar.
- To reconcile the dividend accounts on a monthly basis and confirm status to THE Company Secretary.
- To ensure that the Blueprint system is updated and has correct information at all times.
- Assist the Company Secretary in ensuring compliance and rendering advice on applicable Capital Markets and Listing laws, rules and regulations.
- Assist in the preparation of the Annual Report
- Take minutes of and manage the Board Audit Committee or other committees as directed.
- Manage the Unclaimed Dividends process and ensure accurate submissions to the Unclaimed Financial Assets Authority
- To ensure audit preparedness of the function
- Complete KCSAs correctly and timely
- Attend the Outsourcing Committee meetings on behalf of the Head of Legal
- Bachelor’s degree in Law
- Certified Public Secretary qualification would be an Advantage
- Proven track record of experience in-house or in private practice
- A strong understanding of the legal environment in Kenya
- Strong analytical skills.
- Sharp business acumen, including the ability to assess risk.
- Strong leadership qualities, excellent inter-personal skills and multi-cultural awareness.
- Strong integrity, independence & resilience.
