The KCIC is an initiative supported by the World Bank’s infoDev, and is the first of a global network of CICs being launched by infoDev’s Climate Technology Program (CTP). The KCIC is funded by the United Kingdom’s UKAid and the Danish Government. In January 2015, KCIC was registered in Kenya under the Companies Act (cap 486) as a private company limited by guarantee without a share capital
One of the key success factors for the KCIC is to have a strong and dedicated board of directors to support KCIC’s management. The role of the Board will be to deliver strategic advice and provide a wider perspective of expertise, experience and perspectives regarding management and delivery of KCIC’s mandate.
The principal responsibility of the Board of Directors is to ensure the overall stewardship of the organisation and that there are long-term goals and a strategic planning process in place. The Board is responsible for translating stakeholder mandates into the business goals and ensures that the organisation meets its strategic objectives.
The principal responsibilities of the Board of Directors include:
- Regularly attending board meetings and important related meetings;
- Commitment to participate actively in committee work;
- Staying informed about committee matters, preparing themselves well for meetings, and reviews and comments on minutes and reports;
- Helping connect the organisation and board with networks of potentially useful people and organisations especially in the area of equity fund raising and investment;
- Ensuring satisfaction on the integrity of financial information and that financial controls and systems of risk management are robust and defensible;
- Ensuring the organisation accounts properly to its shareholders and donors as well as other stakeholders by presenting a true and fair reflection of its actions and financial performance;
- Promoting sound corporate governance and ethical standards;
- Actively engaging in directing and approving the strategic planning of KCIC and monitoring management’s implementation of the strategies;
- Entering into association with other persons, bodies or organizations within or outside Kenya as the board may consider appropriate in furtherance of the objects and purposes for which the board is established;
- Safeguarding and enhancing the image and reputation of the KCIC; and
- Ensuring excellent client service delivery by KCIC at all times.
Desired Skills and Experience
- The Board Member will have a Master’s degree in Business Administration (MBA) or related field
- The Board Member must have the ability to think strategically and to design long term plans in addition to being a visionary leader. They must have proven intellectual leadership in managing people and financial resources and must have established a reputation for outstanding performance. In addition the board member will have the following attributes;
- Relevant expertise and direct private sector experience of being an entrepreneur, or managing or investing in early stage businesses is desirable;
- Willingness and ability to commit to the necessary time to engage in the Board’s activities;
- Commitment and genuine interest in KCIC’s mandate and sustainability /future of the KCIC;
- Ability to network to the advantage of KCIC;
- Good leadership and interpersonal skills; and
- Ability to work as a team
